The agreement between you and Memoriful.

1. The service

Memoriful LLC, a Texas limited liability company, provides software for planning multi-day celebrations: itineraries, guest lists and households, invitations, RSVPs, headcount and dietary reports, and event reminders delivered by text. We may add, change or remove features at any time.

2. Eligibility and accounts

You must be 18 or older to create a workspace. You must provide a mobile number you own or are authorised to use, and keep it current. Sign-in is by one-time code sent to that number; you are responsible for anything done through your workspace and for keeping your device and codes secure.

Co-hosts you invite gain full edit access to that celebration, including its guest list. Choose them carefully; you remain responsible for what they do.

3. Early access

Memoriful is currently offered as free early access. It is provided on an as-available basis, may contain defects, and may change or end at any time. Joining the early-access list places you in a queue; it does not guarantee access, and it is not a purchase.

4. Host responsibilities for guest information

This section is important. When you add a guest to a celebration, you represent and warrant that:

You are the sender of these invitations in substance; Memoriful transmits them on your behalf. You are responsible for complying with the Telephone Consumer Protection Act and other applicable communications and privacy laws when you do. Memoriful may suspend a workspace that generates opt-out or complaint rates that put our messaging program at risk.

5. Acceptable use

You may not use Memoriful to send marketing, solicitations, political messaging, fundraising appeals, or anything unrelated to the celebration you are hosting. You may not:

Messaging is governed by our SMS Terms, which form part of this agreement. In short: consent is required, frequency varies, message and data rates may apply, and replying STOP ends messages while HELP requests help.

7. Your content

You keep ownership of the content you put into Memoriful — event details, photos, guest lists and notes. You grant us a limited licence to host, process, display and transmit it for the purpose of operating the service for you. We do not use your content to train models or for our own marketing without your written permission.

8. Our intellectual property

Memoriful, our logo, the software and its design are owned by us and protected by intellectual property law. These terms grant you a personal, non-exclusive, non-transferable, revocable right to use the service as intended, and nothing more.

9. Fees

Early access is free. If we introduce paid plans we will tell you the price before you are charged, and you will be able to decline. Your mobile carrier's message and data rates are separate and remain your responsibility.

10. Third-party services

We rely on providers for hosting, message delivery and calendar subscriptions. Their availability is outside our control, and we are not responsible for their acts or omissions. Calendar feeds and exported reports leave our service at your direction.

11. Suspension and termination

You may stop using Memoriful and delete your workspace at any time. We may suspend or terminate access if you breach these terms, if required by law or by a carrier, or if your use threatens the security or availability of the service. Sections that by their nature should survive termination will do so.

12. Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that messages will be delivered on time, that the service will be uninterrupted, or that it is free of errors. Do not rely on Memoriful as your only channel for time-critical information.

13. Limitation of liability

To the fullest extent permitted by law, Memoriful is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, or the cost of substitute services. Our total liability arising out of or relating to these terms is limited to the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars. Some jurisdictions do not allow these limits, in which case they apply to the extent permitted.

14. Indemnity

You agree to indemnify and hold Memoriful harmless from claims, damages and costs, including reasonable legal fees, arising from your content, your use of the service, or your breach of section 4 or section 5 — including any claim that you lacked permission to contact a guest.

15. Governing law and disputes

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Texas, and you and Memoriful consent to their jurisdiction. Before filing, please contact us — most issues are resolved quickly.

16. Changes to these terms

We may update these terms. The date at the top will change, and material changes will be notified by text or email before they take effect. Continuing to use Memoriful after that means you accept the updated terms.
